This Service Agreement (“Agreement”) is between The Wellstead Collective LLC, doing business through its Wellstead Studio expression (“Studio”), and the client identified when this Agreement is signed (“Client”).

1. Services and Scope
Studio House Hosting provides a managed hosting environment for one approved WordPress website, subject to the selected plan and reasonable resource limits. Studio provides hosting setup and administration, SSL oversight, applicable DNS/domain connection administration, setup of supported business email accounts, backup availability oversight, and reasonable hosting-related technical support. Infrastructure is provided using third-party hosting services. Studio may coordinate with that provider to resolve infrastructure issues. Scheduled WordPress core, theme, and plugin maintenance, website edits, content changes, design, development, complicated integration repairs, malware remediation, guaranteed uptime, and round-the-clock personal support are excluded from Hosting unless otherwise agreed upon in writing by Studio and the Client. Only if the client selects “Studio House Hosting + Digital Stewardship,” Studio will additionally perform four planned quarterly website-care sessions per year, with reasonable backup checks, appropriate supported WordPress core/plugin/theme updates and basic post-update functionality checks. This plan is not monthly maintenance, unlimited troubleshooting, content editing, priority support, or a guarantee against software failure. Studio will make a reasonable effort to address or roll back an issue caused by an update Studio performs. Substantial additional work requires a separate scope and approval.

2. Eligibility and Onboarding
Studio may review the website and decline service or require separately priced remediation if its condition, security, complexity, traffic, or dependencies make it unsuitable. Client must provide legitimate access and authorization, current information, and disclosure of known issues. Hosting service begins upon completion of the required approval, successful payment, and hosting setup, as applicable. Signing this Agreement is required before Studio provides the private hosting purchase invitation.

3. Term and Billing
This Agreement establishes an initial service commitment of twelve (12) months, regardless of the Client's selected billing frequency. Studio House Hosting is offered at the following standard rates: Monthly: $30, Quarterly: $80, and Annually: $249. Studio House Hosting + Digital Stewardship is offered at $450 annually. The Client's selected hosting service, billing frequency, and applicable subscription rate will be documented through Studio's designated hosting checkout platform and incorporated into this Agreement. Payments are processed through Studio's designated hosting payment platform. By completing checkout and providing payment information, the Client authorizes recurring charges according to the selected billing frequency and the payment authorization presented at checkout. The Client agrees to maintain a valid payment method throughout the service term. Failure to maintain timely payments may result in service suspension or termination following reasonable notice, subject to applicable law. Studio reserves the right to adjust service pricing for subsequent renewal terms, provided the Client receives any advance notice required by applicable law.

4. Renewal and Nonrenewal
Subject to applicable law and legally required reminders, consent, and cancellation rights, the Agreement renews for successive twelve (12) month service commitments unless Client gives written notice of nonrenewal at least thirty (30) days before the end of the current service term. The billing frequency is not the contract renewal frequency. Studio will provide any additional disclosures or cancellation methods required by applicable law.

5. Early Termination and Refunds
The Client agrees to maintain the selected hosting service for an initial twelve (12) month term. Should the Client elect to terminate services before the completion of the applicable twelve-month commitment, an early termination fee of $75 shall apply, subject to applicable law. This fee replaces the obligation to pay remaining unbilled installments for the current service term.  Payments made toward an annual hosting subscription are nonrefundable in the event of voluntary early termination, except where otherwise required by law or where Studio's material breach warrants a remedy. Termination requests must be submitted in writing to hello@wellsteadstudio.com. Upon termination, Studio will coordinate reasonable account closure and transition arrangements. Additional website migration services, when requested, may require a separate agreement and fee. The early termination fee does not apply where termination results from Studio's uncured material breach of this Agreement.

6. Domain Registrations and Transfers
Domain registration and website hosting are separate services. Unless expressly included in the Client's selected package, domain registration and renewal fees are not included in Studio House Hosting. When Studio manages a domain registration on the Client's behalf, the Client retains applicable domain registrant rights and ownership interests. Studio may charge a $150 administrative service fee for domain registration transfer-out assistance involving the coordination and management of a domain transfer to another registrar, when such assistance is requested and agreed upon. The Client retains the right to transfer eligible domain registrations in accordance with applicable ICANN policies and registrar requirements. Studio will not unlawfully restrict an eligible domain transfer or withhold required authorization information due to an unpaid administrative fee. Website hosting migrations, website file transfers, and domain registrar transfers are separate processes. Any additional migration services requested from Studio may be quoted and billed separately.

7. Client Responsibilities and Acceptable Use
Client is responsible for lawful website content, permissions to use intellectual property, privacy disclosures, business practices, accurate domain registration data, and client-owned third-party subscriptions, licenses, tools, and accounts. Client shall not use the service for unlawful activity, abusive sending, malware distribution, or other conduct that threatens hosting security. Client must promptly report suspected compromise, maintain secure credentials, and refrain from unauthorized infrastructure modifications. Studio may temporarily suspend access when reasonably necessary to address a material security threat or legal violation, with notice when practicable.

8. Backups, Security, and Third Parties
Studio will use available hosting backup and security features appropriate to the purchased plan but cannot guarantee that backups are complete or that a restoration will preserve changes made after the backup date. Client should retain independent copies of irreplaceable content. Studio cannot guarantee uninterrupted access, freedom from cyber incidents, or continued operation of third-party themes, plugins, domains, mail services or integrations. Hosting-provider support and service conditions may affect resolution timing.

9. Scope Changes and Support Boundaries
Studio provides reasonable support for included hosting administration, not general IT services. Requests involving content, design, custom code, software conflicts, ongoing website maintenance outside the chosen plan, site moves, or unfamiliar third-party systems may require a separate quotation or referral. Any separately chargeable work requires Client approval before Studio begins.

10. Confidentiality and Intellectual Property
Each party will use reasonable care to protect confidential nonpublic information received for service delivery, subject to ordinary disclosures to service providers, legal obligations, or information already public. Client represents that Client has rights to materials used on the website. Except for rights explicitly granted, each party retains its existing intellectual property.

11. Liability and Remedies
Studio will make reasonable efforts to provide reliable hosting services and fulfill the responsibilities outlined in this Agreement. However, Studio does not guarantee uninterrupted website availability, error-free operation, or the continued functionality of third-party software, applications, plugins, or integrations. To the extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, or consequential damages, including lost revenue, lost profits, or business interruption arising from the use or interruption of hosting services. To the extent permitted by law, Studio's total liability arising from this Agreement shall not exceed the amount paid by the Client for the affected hosting service during the twelve (12) months preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from willful misconduct.

12. Termination for Cause
Either party may terminate for material breach if the other fails to remedy the breach within a reasonable written cure period, except where immediate action is required for safety, law, or material security concerns. Termination does not extinguish lawful accrued payment obligations, rights to client materials, or obligations expressly intended to survive termination.

13. Disputes and Governing Law
The parties agree to make reasonable, good-faith efforts to resolve any dispute arising under this Agreement through written communication before pursuing formal legal proceedings. This Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles, except where applicable law requires otherwise. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law. Failure by either party to enforce a provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it in the future.

14. Electronic Agreement and Notices
Client accepts these terms by signing this agreement through HoneyBook before receiving the private HostShop purchasing link. The Client's hosting purchase confirmation and any written amendments agreed upon by both parties form part of this Agreement. General contract notices may be sent to hello@wellsteadstudio.com and to the Client's contact email listed in HoneyBook. Client is responsible for keeping that address current. Changes to material terms will be disclosed as required by law.
